OFFICIAL SWEEPSTAKES RULES

NO PURCHASE NECESSARY. PURCHASE WILL NOT INCREASE ODDS OF WINNING.

1. HOW TO ENTER: Enter the "Elf" WWE Sweepstakes (the "Sweepstakes") online at http://sponsors.wwe.com/xbox/index.html by filling out the online entry form and clicking "enter," Online entries must be received between 12:01 a.m. (ET) on October 17, 2003, when sweepstakes begins, and no later than 11:59 p.m. (ET) on November 5, 2003 when sweepstakes ends. Only one entry per person, per unique email address.

2. ELIGIBILITY: Sweepstakes open only to legal residents of the 48 contiguous United States and the District of Columbia (this excludes Alaska and Hawaii), who are (13) years of age or older at the time of entry, except employees (and their immediate families -- meaning spouses, parents, siblings, children and their spouses) of World Wrestling Entertainment, Inc. ("WWE") and Microsoft Corporation, their respective affiliates, promotion and advertising agencies and anyone involved in the Sweepstakes' development or execution. Online entrants must have Internet access as of October 17, 2003.

3. SELECTION OF WINNER: One (1) potential Grand Prize Winner shall be selected at random from all eligible entries, on or about November 6, 2003 by WWE whose decision is final and binding on all aspects of this Sweepstakes. If a potential winner cannot be reached within two (2) days, or in the event of non-compliance with any of the requirements of these Official Rules, or should potential winner be unavailable or unwilling to travel on the days specified by WWE, that prize will be forfeited, and an alternate winner will be selected at random from the remaining eligible entries.

4. PRIZE:
One (1) Grand Prize consists of a trip for two (2) to the WWE Survivor Series pay-per-view event ("Event") in Dallas, Texas, taking place on Sunday, November 16, 2003 (exact travel date and location subject to WWE's sole discretion) where the Grand Prize Winner will have the opportunity to play a video game (exact game subject to WWE's sole discretion) on the Xbox videogame system with a WWE superstar (identity of WWE superstar subject to sole discretion of WWE). Grand Prize winner will also receive two (2) tickets to the Survivor Series pay-per-view Event (seat location subject to WWE's sole discretion) and an Xbox videogame console. Grand Prize package includes economy round-trip air travel (via air carrier selected by WWE) for two (2) from major gateway city airport closest to the Winner's home to the location where prize fulfillment will take place. Trip includes one (1) night hotel accommodations consisting of one (1) standard room, double occupancy at a hotel selected by WWE, round-trip ground transportation from airport to hotel, and round-trip ground transportation from hotel to fulfillment site. Restrictions may apply depending upon Grand Prize Winner's residence and availability to travel. All expenses not specified in these Official Rules, including, without limitation, taxes, insurance, meals, gratuities, spending money, phone calls and mini-bar services are Grand Prize Winner's responsibility. Winner responsible for all applicable taxes.

5. APPROXIMATE RETAIL VALUE: APPROXIMATE RETAIL VALUE (ARV) OF PRIZES: ARV of Grand Prize: $3,000 (Actual value will depend on Grand Prize Winner's point of departure and airfare fluctuations). The total ARV of all prizes awarded is $3,000.

6. ODDS OF WINNING: Odds of winning depend upon the number of eligible entries received.

7. CONDITIONS OF PARTICIPATION: Prizes may not be substituted, transferred or redeemed for cash, except by Sponsors, who reserve the right to substitute similar prizes of comparable or greater value in its sole discretion. By taking part in this Sweepstakes, participants agree to be bound by these Official Rules. Sponsor reserves the right permanently to disqualify from this Sweepstakes any person they believe has intentionally violated these Rules. Entry constitutes permission (except where prohibited by law) to use a winner's name and hometown on Sponsor's websites and to use a winner's name, city, state, likeness and/or voice for purposes of advertising, promotion and publicity without additional compensation.

8. GENERAL TERMS AND CONDITIONS: Sweepstakes subject to all Federal, state and local laws. SWEEPSTAKES VOID WHERE PROHIBITED. All Federal, state and local taxes are sole responsibility of winners. Sweepstakes materials are void if they contain printing, mechanical or other errors. Incomplete entries will be disqualified. No mechanically reproduced entries allowed. No responsibility will be assumed for lost, late, stolen, illegible, incomplete, damaged, postage due, misdirected or mutilated entries. "Releasees" (as defined below) are not responsible for lost, interrupted or unavailable network, server or other connections, miscommunications, failed telephone or computer hardware or software transmissions or technical failures, incomplete, delayed or garbled transmissions or other errors or problems of any kind, whether mechanical, electronic, human or otherwise. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Sweepstakes should a virus, bug, computer or other problem corrupt the administration, security or proper play of this Sweepstakes. Sponsor reserves the right to award prizes from among the eligible, non-suspect entries received prior to the action requiring modification. If Sponsor determines that there is any suspected or actual electronic tampering with the Sweepstakes, of if technical difficulties compromise the integrity of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to void any entries that appear to have been submitted fraudulently or to cancel or modify the Sweepstakes, in whole or in part. All entries become property of Sponsor and none will be acknowledged or returned.

9. LIMITATION OF LIABILITY: By participating in this Sweepstakes, all entrants release Sponsor and their respective affiliates, subsidiaries, parent companies, prize suppliers, advertising and promotion agencies, and all of their respective officers, directors, employees, shareholders, representatives, agents and all others associated with the development or execution of this Sweepstakes (collectively, "Releasees") from any and all liability in any way arising from this Sweepstakes and/or the receipt, use or misuse of a prize or parts thereof (including activity or travel related thereto), including, without limitation, liability for death, personal injury, damage or loss of any kind, and from liability to any other persons relating to or resulting from entering or downloading materials or software in connection with this Sweepstakes.

10. DISPUTES/GOVERNING LAW: In the event of any dispute regarding the identity of a person submitting an entry, the entry will be deemed submitted by the authorized e-mail account holder, which is defined for these Rules as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Participants agree that this Sweepstakes is governed solely by United States law. Any claims arising out of the Sweepstakes shall be governed solely by United States law and may be brought only in a Federal or state court in Connecticut. If any provisions of these Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
